|Item 2.03||Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant|
On November 15, 2019, High Technology Capital Fund LP (the “Lender”) loaned to Brain Scientific Inc. (the “Company”) $10,000 (the “Loan”). Boris Goldstein, the Chairman of the Board of Directors, Secretary and Executive Vice President of the Company, is the managing partner of the Lender. The Company intends to use the proceeds from the Loan for the Company’s working capital and general corporate purposes. The Loan is non-interest bearing and has no maturity date, and is not evidenced by written documentation.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 14, 2019, Jesse W. Crowne, a member of the Board of Directors (the “Board”) of the Company, resigned from the Board, effective immediately. Mr. Crowne’s departure is not related to any disagreement with the Company’s accounting or operating policies or practices.
